I hereby grant to Merilee Kern of Mavyn Enterprises, Inc. DBA Kern Communications; DBA The Luxe List ("the Publisher") my permission to use the Photograph(s) and/or Video(s) as provided herein (“the Images”), and I hereby waive any right to receive any compensation for its use.

1. I hereby grant to the Publisher during the full term of copyright and all extensions thereof, the full rights comprised in the Images and any revised versions of the Images, including but not limited to the right, throughout the world, to record, transmit, copy, broadcast, print, publish, republish, and distribute the Images, including as part of an online broadcast (meaning a recording) made available for viewing and/or listening on demand via a legitimate video/media sharing website, and to prepare, publish, and distribute derivative works based on the Images, in English and in other languages, in all media of expression now known or later developed, and to license or permit others to do so. I understand that the Publisher shall have no obligation to use the Images or to submit any uses of the Images to me for my approval and that the Publisher shall have the right and permission to edit the Images.

2. In consideration of the re-broadcast and/or publication of the Images by the Publisher, I hereby warrant and represent that:

(a) The Images is my original work. If any materials were prepared jointly, I agree to inform the co-contributors of the terms of this Agreement and to obtain their signatures to this Agreement or their prior written permission to sign on their behalf.

(b) In the event the Images is not my original work, I have obtained permission from the copyright holder to reproduce in the Images all material, photographs and graphics not owned by me, and that I have acknowledged the source.

(c) That in the case of a multi-authored Images and/or if any excerpts from works protected by copyright owned by third parties are included in the Images, I have obtained prior written permission from the copyright owners (copyright assignment from all co-creators) in writing for all uses as set forth in paragraph 2, as well as authorization to enter into this Agreement on their behalf, and that all co-creators have read and agreed to the above warranties.

(d) That this Video will not violate any existing copyright or other third-party right, or any material of an unlawful nature, and that to the best of my knowledge, this Video does not infringe the rights of others.

(e) That I will indemnify and keep indemnified the Publisher against all claims and expenses (including legal costs and attorney fees) arising from any breach of this warranty and other warranties on my behalf in this Agreement.

(f) That my Images and/or any other kind of content contribution contains no libelous or unlawful statements, does not infringe on the right or privacy of others, and does not include material or instructions that might cause harm or injury.

(g) That I grant permission to the Publisher the right to make necessary editorial changes to the Images for space/time, clarity, and other considerations.

3. I hereby release the Publisher and any successors, assigns and licensees from any and all claims of any kind that may be asserted against them based on the Images, including without limitation any claims for copyright infringement, invasion of privacy or publicity. My heirs, executors, administrators and assigns shall be bound by this release.

4. Model Release: I irrevocably consent to the use of the Images for the purposes set out in this Agreement and any ancillary advertising and publicity material relating to the Images in all media throughout the world (the “Purposes”). I shall obtain the prior written consent of any other persons that are visible in the Images to use their image in the Images for the Purposes and shall provide the Publisher with copies of all such written consents as soon as reasonably practicable following signature of this Agreement.
